Life With Lydia Inc. (“Life With Lydia,” “The She Center,” “We,” “Us,” “Our”) provides various coaching services, products, events, digital memberships, applications, and other offerings (collectively, the “Services”) through our websites, mobile application, and community portal (collectively, the “Platform”). These Services are offered subject to your acceptance of these Terms, our Privacy Policy, and any relevant statements of work, event agreements, or supplemental policies that apply to specific services.
Please read these terms and conditions (“Terms”) carefully before using our Platform or Services.
BY ACCESSING OR USING ANY PART OF OUR PLATFORM OR SERVICES, YOU AGREE THAT YOU:
If you do not agree with these Terms, or are under 18 years old (without parent or guardian consent), you may not use the Services or Platform.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” will refer to both you individually and that organization.

You must be at least 18 years old to access or use our Platform and Services unless you have the consent and active involvement of a parent or legal guardian. If you are under 13, you are not permitted to use our Services. By using our Platform, you affirm that you meet the eligibility requirements and that your use complies with these Terms.

As part of account creation, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials. Unauthorized sharing or transfer of access credentials may result in suspension or termination of your account.

While we maintain community guidelines and encourage respectful interaction, we do not endorse or guarantee the accuracy or integrity of user-generated content. We are not liable for content posted by you or other users.
You agree not to post content that is unlawful, offensive, defamatory, infringing, or that violates the rights of others.

You retain ownership of any original content you post. However, by submitting content on the Platform (e.g., photos, comments, voice memos), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, display, reproduce, and distribute that content in connection with our Services.

All materials provided in our Services are proprietary. You may not reproduce, share, or teach them without our written permission. Any improvements or suggestions you provide become our intellectual property without further compensation to you.
You may not use our content or community structure to build derivative or competing offerings. All proprietary materials remain the exclusive property of The She Center.
10. Technology and Third-Party Platforms
We strive to provide consistent, uninterrupted access to our Platform, but we cannot guarantee uptime or performance. We are not responsible for outages, interruptions, data loss, or technical issues caused by third-party platforms (such as Zoom, Discord, or others) or internet service failures.
Use of third-party tools or links provided through our Services is at your own discretion and subject to their respective terms and privacy policies.
11. Limitations of Liability
To the maximum extent permitted by applicable law, in no event shall Life With Lydia, its affiliates, directors, employees, independent contractors, coaches, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, Life With Lydia and its independent contractors and coaches assume no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein. Our maximum liability to you is limited to the amount you paid for Services within the four months preceding a claim.
12. Disclaimers
We are committed to helping you achieve your goals, but you are solely responsible for your progress and results from the Services. We have made every effort to accurately represent the Services, but ultimately, your participation and commitment are up to you completely. We make no representations or guarantees regarding performance or outcomes other than those specifically written in this Agreement.
Because of the nature of the Services, the results experienced by clients vary significantly. You accept responsibility for this variance. You understand that our coaching involves methodologies which may create intense emotional or physical experiences that could require additional therapeutic or medical support. Our Services are for educational purposes only and do not constitute counseling, psychotherapy, or medical treatment. We make no warranties regarding the performance or operation of the Services, including any technological aspects. This includes, but is not limited to, the availability, reliability, or functionality of the Platform and any third-party tools used in conjunction with our Services.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its parents, subsidiaries, affiliates, officers, directors, employees, independent contractors, coaches, facilitators, service providers, and community participants serving in limited support roles, from and against any and all third-party claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your access to or use of the Platform or Services; (b) your content, conduct, or interactions with other users; (c) your participation in any independent gathering, including any She Circle; (d) your violation of these Terms, Community Standards, or applicable law; or (e) your infringement or misappropriation of any rights of a third party.
For the avoidance of doubt, community participants serving in limited support roles are not authorized to bind the Company or act as its legal representatives unless expressly authorized in a separate written agreement signed by the Company.
14. Independent Gatherings (She Circles)
She Circles and similar gatherings are independent, peer-led gatherings initiated and organized by members. The She Center may provide community tools, educational materials, discussion prompts, or limited brand-use permission, but does not own, operate, manage, supervise, staff, insure, or control such gatherings.
Your participation in any independent gathering, whether in person or online, is entirely voluntary and at your own discretion and risk. You understand that such gatherings may involve inherent and unforeseeable risks, including risks associated with travel, private residences, public venues, food or beverage service, physical environments, emotional conversations, interactions with other participants, and the conduct of third parties.
To the maximum extent permitted by law, you voluntarily assume all such risks arising out of or relating to your participation in any independent gathering. To the maximum extent permitted by law, you also release the Company and its officers, directors, employees, independent contractors, coaches, facilitators, and service providers from claims arising out of or relating to your participation in any independent gathering, except to the extent caused by the Company’s gross negligence, willful misconduct, or any liability that cannot lawfully be waived.
15. Limited Brand License
Subject to your continued compliance with these Terms, the Community Standards, and any applicable Brand Kit or brand-use guidelines, The She Center grants qualifying members a limited, non-exclusive, non-transferable, revocable license to use The She Center name and approved brand assets solely to identify and promote an independent She Circle.
Any such use must:
(a) comply with our then-current Brand Kit and any written brand-use instructions we provide;
(b) include a clear and conspicuous disclaimer substantially in the following form: “This is an independent member-organized gathering. It is not owned, operated, supervised, staffed, or officially hosted by The She Center.”
(c) not imply that the gathering is an official Company event, professionally supervised, screened, endorsed for safety, or guaranteed by The She Center; and
(d) cease immediately upon our request.
We reserve the right to revoke this license at any time, for any reason, including where your gathering, conduct, or use of our brand may create confusion, imply authority, expose the community to risk, or violate our Community Standards.
15A. Public Statements and Disclosure of Material Connections
If you publicly promote, review, recommend, or discuss The She Center, its Platform, Services, events, or offerings and you have a material connection to us — including a moderator role, committee role, host role, special access, free or discounted access, an affiliate relationship, compensation, or any other benefit or special relationship — you agree to clearly and conspicuously disclose that connection as required by applicable law.
You may not make false, misleading, deceptive, or unsubstantiated statements about The She Center or its Services. We reserve the right to require removal or correction of non-compliant public statements and to revoke related community privileges or brand-use permissions in our discretion.
16. Limitation of Personal Liability; Limited Community Roles
To the maximum extent permitted by law, you agree not to hold the Company’s directors, officers, employees, independent contractors, coaches, facilitators, service providers, or community participants serving in limited support roles personally liable for good-faith actions taken in connection with administration of the Platform, enforcement of these Terms or Community Standards, moderation decisions, referrals of safety concerns, or removal of content or accounts.
From time to time, the Company may invite certain members to participate in limited community-support roles, such as welcoming members, helping model respectful engagement, identifying potential safety concerns, or helping organize independent peer connection opportunities. Unless expressly identified by the Company in a separate written agreement signed by an authorized officer, such individuals are not employees, agents, partners, franchisees, joint venturers, or legal representatives of the Company and have no authority to bind the Company, modify these Terms, offer refunds, provide professional advice on behalf of the Company, or create obligations of any kind for the Company.
Nothing in this section waives any rights or remedies that cannot be waived under applicable law.
17. Community-Led Contributions
The Company may, in its discretion, invite certain members to participate in optional, limited community-support activities, which may include welcoming members, helping direct users to existing resources, identifying potential safety concerns, or helping organize independent community gatherings.
Unless otherwise set forth in a separate written agreement signed by the Company, participation in any such activity:
(a) is optional and may be discontinued by either party at any time;
(b) does not grant the participant authority to speak for, represent, or bind the Company;
(c) remains subject to any separate role-specific guidelines, confidentiality requirements, brand-use rules, and disclosure requirements we may issue from time to time; and
(d) may be suspended or revoked at any time in the Company’s discretion.
Participants may not hold themselves out as official representatives of The She Center unless separately authorized in writing.
18. Participation and Conduct
Participation in the App and She Circles is conditioned upon your adherence to our Community Standards. This includes a zero-tolerance policy for violence, defamation, or harassment. Violation of these standards, as determined in our sole discretion, is a breach of these Terms and may result in immediate removal from the community and revocation of any licenses granted herein.
19. Professional Disclaimer
The She Center provides educational content, neuroscience-backed coaching, and community support for personal development. The She Center is not a medical, mental health, or healthcare provider. Our services, the App content, and any discussions within She Circles are for informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a physician or qualified health provider regarding any medical or mental health condition. Reliance on any information provided by The She Center or other community members is solely at your own risk.
20. Personal Safety Advisory; No Screening or Supervision
She Circles and other member-organized gatherings are independent gatherings. While we strive to foster a respectful community, The She Center does not conduct criminal background checks, identity verification, reference checks, venue inspections, or individualized screening of members, hosts, attendees, or third-party venues unless we expressly state otherwise in writing.
You understand that the existence of Community Standards, moderators, community participants serving in limited support roles, or reporting tools does not mean that The She Center screens, supervises, monitors, or guarantees the conduct of any participant or the safety, suitability, or legality of any gathering or venue.
You are solely responsible for exercising your own judgment regarding whether, when, and how to interact with other users, whether online or in person, and for taking appropriate precautions to protect your own safety, property, and well-being.
21. Confidentiality and Non-Circumvention
You agree to respect the confidentiality of other participants and the materials shared within our Services. You may not disclose private information shared by others, nor replicate any internal content or experiences outside of the Services or Platform.
You also agree not to bypass The She Center by initiating direct business relationships with coaches, facilitators, or partners introduced through our Services without our express written consent.
Any breach of confidentiality may result in immediate termination of your access to the Platform and Services, and we reserve the right to take appropriate legal action to protect the privacy and rights of our members.
22. Non-Disparagement
We agree to communicate concerns directly and respectfully. You agree not to make false, misleading, or defamatory public statements that may harm the reputation of the Company, its staff, or fellow members.
23. Dispute Resolution; Governing Law
Before initiating arbitration, the parties agree to make a good-faith effort to resolve any dispute informally by written notice describing the nature of the dispute and the requested resolution. If the dispute is not resolved within thirty (30) days after such notice, either party may initiate binding arbitration.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services shall be resolved by binding arbitration in Santa Fe County, New Mexico, on an individual basis only. The arbitrator may not consolidate more than one person’s claims, and no claim may be brought as a class, collective, coordinated, or representative action.
These Terms shall be governed by the laws of the State of Nevada, without regard to conflict-of-laws principles.

We reserve the right to modify these Terms at any time. Updates will be effective upon posting. Continued use after modifications constitutes your acceptance.

All Events, including video, audio, in-meeting chat content, and transcripts, may be recorded and securely stored for purposes of records retention, content review, and use in future programming. By joining and remaining in any recorded Event, you provide your express consent to be recorded and for your contributions (your image, voice, and volunteered information) to be used for these purposes. You will be notified when a recording begins.
The content of the recorded sessions, which may include your personal information, name, image, voice, and personal life details you volunteer, may be made available to ALL members of The She Center mobile application community (which is not a paid program) at a future date, and may also be used in promotional materials.
If you do not wish to be recorded, you must keep your camera and microphone off and refrain from submitting questions or comments that contain personal information. You also have the option to leave the meeting.
